An exciting opportunity has arisen for a junior to mid-level funds lawyer to join the in-house legal and governance team of a highly regarded investment management group; Melbourne based.
 
This is a broad and commercially focused role combining funds management, corporate legal and company secretarial responsibilities, providing exposure to sophisticated investment products, listed investment companies, corporate transactions and the governance of multiple ASX-listed entities.

Working closely with an outstanding Head of Legal & General Counsel, the successful candidate will have the opportunity to develop a genuinely broad in-house skillset across fund formation and structuring, financial services regulation, corporate transactions, board governance and ASX compliance.

Key responsibilities of the role include:

• Assisting with the formation, structuring and restructuring of investment funds and vehicles, including Australian and Cayman Islands structures;

• Drafting and reviewing PDSs, Information Memoranda, constitutions, investment management agreements and distribution agreements;

• Supporting the launch and ongoing operation of managed funds, listed investment companies and ETFs;

• Advising on AFSL obligations, ASIC and ASX requirements, product governance and ongoing fund disclosure;

• Supporting due diligence and legal workstreams for new investment products and corporate initiatives;

• Providing legal support across M&A, capital raisings, restructures and other corporate transactions;

• Drafting, reviewing and negotiating a broad range of commercial and corporate agreements; and

• Managing and instructing external legal advisers on transactions and specialist matters.

About You

You will be an Australian-admitted lawyer with approximately 3–6 years' post-qualification experience, gained in a leading or mid-tier law firm and/or in-house legal team.

You may come from a funds, corporate, financial services or investment management background, with an interest in developing a broader in-house skillset.
