This is not a typical in-house legal role.

Our client is looking for a senior lawyer that can operate as a true 2IC to the Chief Legal & Commercial Officer (CLCO). Someone comfortable combining legal expertise with commercial judgement in a fast-moving investment business.

Put simply, they are looking for someone who:

• Understands how transactions and investment platforms actually work;

• Is comfortable making commercial calls rather than simply identifying legal risk; and

• Can operate independently in a lean legal team.

The Company

Our client is a listed investment platform and established funds management business.

Following a period of strategic repositioning, the organisation is entering a new phase of growth and capital deployment across its investment platform.

The legal team plays a central role in enabling that strategy and its integration with the business means this role offers unusual breadth, autonomy and visibility for a senior lawyer operating below GC-level.
 
The Role

This is a broad funds and corporate role combining transactional work, governance and strategic legal support to the investment team.

Working closely with the CLCO, the successful candidate will operate as a trusted internal adviser across multiple parts of the business, helping manage transactions, guide internal stakeholders and support the evolution of the legal function.

Responsibilities will include:

• Supporting corporate transactions and capital activity across the investment platform;

• Advising on fund structures and fund establishment;

• Assisting with corporate actions, restructures and equity transactions;

• Coordinating listed disclosure obligations and market announcements;

• Advising the executive team on strategic legal issues and risk management; and

• Managing internal workstreams during transactions and coordinating external advisers where required.

About You

You are a senior funds / corporate lawyer that enjoys working closely with the business and using your legal skills in a practical way.

You are likely to bring:

• ~15 PQE;

• Strong funds management and / or corporate transactions experience;

• Experience advising on complex corporate structures or capital transactions; and

• Familiarity with listed environments, disclosure obligations or governance frameworks (not essential).

Most importantly, you will be someone who enjoys autonomy, commerciality and being challenged to use their judgement in a role where the legal team is expected to help move the business forward.
